For clients wishing to implement a growth strategy through acquisition, our transaction team will assess the accounting, financial and tax risks of the company being sold. We examine the target company's value creation processes, the source and distribution of revenues, and typical cost factors. In addition to understanding the strategy, we also interpret the future prospects and business plans. We conduct in-depth market research and assess the life cycle and financial situation of the company. The due diligence is not limited to the accounting area, HR, IT, legal and tax experts are also involved in the task. We prepare an executive summary of the review of the documentation provided, which is presented to the client. In consultation, we discuss our comments on the purchase price, the risks identified and, if required, we also assist the client in the preparation of the SPA.
